发行股票发生的费用从资本公积里面冲减。比如发行股份1000万股，发行价格每股1.5元，发行手续费2%，那么账务处理就是，
借：银行存款 1000万*1.5*（1-2%），
贷：股本 1000万，
资本公积—股本溢价 470万。
